Item 2.02.
Results of Operation and Financial Condition.
On May 15, 2009, Sterling
Chemicals, Inc. (“Sterling”) filed its Quarterly Report on Form
10-Q for the three-month period ended March 31, 2009. This Current Report
on Form 8-K is being filed pursuant to Item 2.02 of Form 8-K to disclose
financial results for the three-month period ended March 31, 2009 not
previously disclosed in Sterling’s Form 10-Q, pursuant to Exhibit 99.1
hereto. As previously announced, members of Sterling’s management will hold a
conference call to discuss its Quarterly Report on Form 10-Q for the three-month
period ended March 31, 2009 and the information in this Current Report on
Form 8-K on May 20, 2009 at 9:00 a.m. central time. Individuals
