Ethics And Conduct
Since our inception in 1986, we have endeavored to conduct all of our activities in accordance with high professional, ethical, legal and moral standards. We believe that we have earned a reputation for fair dealing and honesty with our employees and stockholders and those with whom we do business, as well as with the communities in which we operate and the governmental agencies responsible for the supervision and regulation of our activities. Our reputation is founded on the personal integrity of our personnel and our dedication to the policies described in our codes of conduct and their underlying guiding principles. Simply stated, our goal is to ensure that we and our directors, officers and employees conduct ourselves in an admirable manner and with personal and institutional integrity. Our guiding principles include:
Integrity – We will observe all applicable laws and regulations and adhere to a high standard or moral and ethical behavior in all of our dealings with customers, suppliers, partners, neighbors, stockholders and employees.
Respect – We will conduct ourselves in a manner that shows respect for our employees and their families and our customers, suppliers, partners and neighbors, be willing to solicit their opinions and listen to and act appropriately in response to their expressed needs and desires.
Competition – We believe that a free market is the best mechanism for producing new ideas and new products and encouraging creativity and productivity.
Candor – We support and encourage the free discussion of projects, problems and ethical issues among our directors, officers and employees and our legal and accounting professionals. We also support and encourage reasonable candor with our customers and suppliers with due regard being given to the protection of our confidential information and trade secrets.
Prudence – We believe that where our directors, officers and employees are authorized or required to exercise discretion, that such discretion should be exercised in a prudent manner.
In furtherance of our goals, we have adopted the following codes of conduct:
We require our directors, officers and employees, and encourage others, to report any known violations of either of our Codes. We have engaged Telesentry LLC to establish a toll-free hotline to report violations of either Code on an anonymous basis. The toll free number for reporting violations of either code is (888) 883-1499. Whether or not a report is made anonymously, no retribution against any individual who reports a violation of either Code is permitted.
